A leading global law firm is seeking a Senior Capital Markets & Public Companies Paralegal to join its corporate team. The role can be based in any of the firm’s U.S. offices, including Mountain View (Silicon Valley), San Francisco, Los Angeles (Santa Monica), New York, Washington DC, Boston, and Seattle.

The paralegal will support capital markets and public company matters, with a focus on IPOs and ongoing public company operations. Responsibilities include preparing registration statement numerical backup spreadsheets, managing beneficial ownership tables, overseeing ’34 Act compliance and Section 16 reporting, and handling Rule 144 matters and legend removal letters. The role also involves onboarding transfer agents, preparing stock exchange applications, submitting FINRA filings, managing selling stockholder matters, and coordinating closing documents, closing volumes, and board resolutions and minutes.

Candidates should have 5+ years of corporate and transactional experience, ideally in a large law firm or corporate setting, with Section 16 experience strongly preferred. A four-year degree and/or ABA-approved paralegal certificate, strong Excel skills, excellent communication and organizational skills, and comfort working with AI tools are required. This is a non-exempt, hybrid role (three days in office, 37.5-hour week) with an anticipated salary range of $120,000–$180,000.
