Fund Formation Attorney

Our client is seeking a Fund Formation Attorney with 3-5 years of large law firm experience to represent private fund sponsors and institutional investors in complex fund formation matters. The role involves handling all aspects of the formation, structuring, capital raising, compliance, and ongoing management of alternative investment funds, including private equity, real estate, mezzanine, traditional closed-end funds, hedge funds, evergreen funds, and hybrid funds. Additionally, the position covers capital raising transactions, such as programmatic joint ventures and managing equity investments for independent sponsors.

Qualified candidates must have primary drafting experience with limited partnership agreements and limited liability company agreements in the private investment fund context. They should possess a solid understanding of market fund terms, the issues and nuances in the fund offering process, and experience reviewing fund documents for institutional investors. Familiarity with preparing offering documents, including PPMs, and experience with Regulation D and other securities laws governing private placements are essential. Knowledge of the Advisers’ Act and related compliance issues applicable to fund managers is also required.

Applicants should have strong interpersonal skills, the ability to advise legal and business stakeholders from inception to closing, and be capable of drafting and negotiating substantive transaction documents and commercial agreements. A strong academic record, excellent writing and oral communication skills, and the ability to work independently are necessary.

The salary range for this position is $250,000 to $345,000.
